Welcome to Rosie Lily! The terms "we", "us" and "our" refer to Rosie Lily. Rosie Lily operates this store and the website rosielily.com, including all information, content, features, tools, products and related services, in order to provide you, the customer, with a curated shopping experience (the "Services"). Rosie Lily is supported by Shopify, which allows us to provide the Services to you.

The following terms and conditions, along with any policies referenced in them (these "Terms of Service" or "Terms"), describe your rights and responsibilities when using the Services.

Please read these Terms carefully. By visiting, interacting with or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms or the Privacy Policy, please do not use or access our Services.

Nothing in these Terms excludes, restricts or modifies any right or remedy you have under the Australian Consumer Law or any other law that cannot be excluded. If anything in these Terms conflicts with those rights, those rights prevail.

Section 1 - Access and account

By agreeing to these Terms, you confirm that you are at least the age of majority in your state or territory of residence and that you have given us your consent to allow any of your minor dependants to use the Services on devices owned, purchased or managed by you.

To use the Services, including browsing our online store or purchasing products, you may be asked to provide certain information, such as an email address and billing, payment and shipping details. You confirm that all information you provide is correct, current and complete.

You are responsible for keeping your account login details secure and for all activity carried out through your account.

Section 2 - Our products

We make every effort to show our products accurately. However, colours and appearance may vary slightly depending on the device and screen settings you use.

Product descriptions may change from time to time. Any change will not affect an order you have already placed. We may stop selling any product at any time.

Section 3 - Orders

When you place an order, you are making an offer to purchase. We may accept or decline an order, for example if a product is unavailable or we suspect fraud. Your order is accepted when we confirm it. If we decline or cancel an order after you have paid, we will refund your payment in full.

Returns and exchanges are handled in accordance with our Refund Policy and your rights under the Australian Consumer Law.

You confirm that your purchases are for personal or household use and not for commercial resale or export.

Section 4 - Prices and billing

All prices are in Australian dollars (AUD) and include GST where applicable. Shipping costs, if any, are shown at checkout before you pay. The price charged is the price shown at the time of your order. We may change prices and promotions at any time, but changes will not affect orders already placed.

You agree to provide current, complete and accurate purchase and account information, and you confirm that you are authorised to use the payment method you provide.

Section 5 - Shipping and delivery

We ship Australia-wide. Delivery times are estimates. Please allow up to 2–3 weeks for delivery. More details are in our Shipping Policy.

We are not responsible for delays caused by carriers, customs procedures or events beyond our reasonable control. This does not limit your rights under the Australian Consumer Law, including where goods are not delivered within a reasonable time. If your order has not arrived within the estimated time, please contact us and we will help.

Risk in the products passes to you when they are delivered to the address you provided.

Section 6 - Intellectual property

Our Services, including trademarks, text, images, graphics and videos, are the property of Rosie Lily, its affiliates or licensors and are protected by copyright and intellectual property laws. Unauthorised use of the Services may breach those laws.

Section 7 - Optional tools

We may provide you with access to third-party tools that we neither monitor nor control. These tools are provided "as is" and "as available". Any use of optional tools is at your own discretion.

Section 8 - Third-party links

The Services may contain links to websites operated by third parties. We are not responsible for the content or accuracy of those websites, or for goods or services you buy from them.

Section 9 - Relationship with Shopify

Rosie Lily is supported by Shopify. However, any sale or purchase made in our store is directly with Rosie Lily. Shopify is not responsible for any aspect of the sales between you and Rosie Lily, including any damages or losses resulting from the products purchased.

Section 10 - Privacy policy

All personal information we collect is subject to our Privacy Policy. Because the Services are hosted by Shopify, Shopify also collects and processes personal information to provide and improve the Services. Details on how we and Shopify use your data are available in our Privacy Policy.

Section 11 - Feedback and reviews

If you send us ideas, suggestions or reviews (collectively "Feedback"), you grant us a perpetual, royalty-free licence to use, modify and publish that Feedback in any medium. We may remove content that we consider unlawful or offensive, or that infringes the intellectual property of others.

Section 12 - Errors and inaccuracies

Occasionally, information on the Services may contain typographical errors or inaccuracies in descriptions, pricing or availability. We may correct such errors at any time. If an error affects an order you have placed, we will contact you, and if we cancel the order we will refund your payment in full.

Section 13 - Prohibited uses

You must not use the Services or their content for unlawful purposes, to breach any local or international law, to harass others, to transmit viruses, or to collect the personal information of others without consent. We may suspend your use of the Services if you breach any of these prohibitions.

Section 14 - Agents and AI

14.1 This section applies if you use an "Agent" (software or a service that acts autonomously on your behalf, such as agentic AI) to interact with the Services.

14.2 No Agent may access the Services unless it clearly identifies itself in accordance with section 14.3.

14.3 Agents must: (i) identify themselves in HTTP/HTTPS requests with the string "Agent/[agent name]"; and (ii) not hide their automated nature by mimicking human behaviour or bypassing CAPTCHA systems.

Section 15 - Termination

We may suspend or end your access to the Services if you breach these Terms or misuse the Services. This does not affect orders we have already accepted, or any amounts already owing.

Section 16 - Consumer guarantees

Our goods come with guarantees that cannot be excluded under the Australian Consumer Law. You are entitled to a replacement or refund for a major failure and compensation for any other reasonably foreseeable loss or damage. You are also entitled to have the goods repaired or replaced if the goods fail to be of acceptable quality and the failure does not amount to a major failure.

To the extent permitted by law, any other warranties not set out in these Terms are excluded.

Section 17 - Limitation of liability

To the extent permitted by law, Rosie Lily, its directors, employees and partners are not liable for any indirect or consequential loss (including loss of profits or data) arising from your use of the Services. This does not limit our liability for failing to comply with a consumer guarantee under the Australian Consumer Law, or any other liability that cannot be excluded by law.

Section 18 - Indemnification

You agree to compensate Rosie Lily for any claim made by a third party, including reasonable legal costs, to the extent it arises from your breach of these Terms or of any law.

Section 19 - Severability

If any provision of these Terms is found to be unlawful or unenforceable, that provision will apply to the maximum extent permitted, and the unenforceable part will be severed without affecting the remaining provisions.

Section 20 - Entire agreement

These Terms, together with the policies referenced in them, form the entire agreement between you and us regarding your use of the Services, subject to any rights you have under law.

Section 21 - Assignment

You may not transfer your rights under these Terms without our written consent. We may transfer our rights and obligations under these Terms to another business, provided this does not reduce your rights.

Section 22 - Governing law

These Terms are governed by the laws of New South Wales, Australia. You may also have rights under the laws of the state or territory where you live.

Section 23 - Headings

The headings in these Terms are for convenience only and do not limit or affect these Terms.

Section 24 - Changes to these Terms

We may update these Terms by posting the changes on our website. Changes apply to orders placed after they are posted. The Terms in place when you placed an order continue to apply to that order.
